Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Nexvox platform or website operated by Nexus Software ("we", "our", "us"). By accessing or using our service you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

Nexvox is a WhatsApp Business API platform that provides shared team inboxes, multi-agent chat, bot-to-human handoff, and webhook-based integrations. The service is currently in early access and features may change without prior notice.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By using the service you warrant that you meet these requirements.

3. WhatsApp & Meta Policy Compliance

Nexvox is built on the WhatsApp Cloud API provided by Meta. By using Nexvox you agree to comply with:

You are solely responsible for obtaining valid opt-ins from your contacts before sending them any WhatsApp messages through the platform. Violations of Meta's policies may result in suspension of your WhatsApp Business Account, for which Nexvox bears no liability.

4. Acceptable Use

You agree not to use Nexvox to:

  • Send unsolicited messages (spam) to contacts who have not opted in
  • Distribute illegal, harmful, misleading, or offensive content
  • Violate any applicable law or regulation
  • Attempt to gain unauthorised access to the platform or other users' accounts
  • Reverse-engineer, copy, or resell any part of the service without written permission
  • Use the service in a way that could harm Nexvox's ability to maintain access to WhatsApp Cloud API

We reserve the right to suspend or terminate your access immediately if we determine you are in violation of these terms or applicable platform policies.

5. Contact Data and Messaging Consent

You represent and warrant that you have obtained, and will maintain records of, valid consent from each contact before using the Services to send them WhatsApp messages, SMS, email, or other communications. You are solely responsible for ensuring such consent complies with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, the EU/UK General Data Protection Regulation (GDPR/UK GDPR), and Meta's WhatsApp Business Messaging Policy and Platform Terms. You agree not to use the Services to contact any individual who has opted out, unsubscribed, or otherwise requested not to be contacted. You further verify that any contact information you upload, import, or create within the Services — including via bulk import — is accurate and that you have a lawful basis for processing it. Nexvox acts solely as a platform provider and bears no responsibility for verifying the consent basis of contacts you add; you agree to indemnify and hold Nexvox harmless from any claim arising out of your failure to obtain or maintain such consent.

6. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@nexvox.co if you suspect any unauthorised use.

7. Data & Privacy

Your use of the service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you bring to the platform. By using the service you grant us a limited licence to process that data solely to provide the service to you.

8. Intellectual Property

All rights, title, and interest in the Nexvox platform, website, brand, and software are owned by Nexus Software. Nothing in these Terms grants you any licence to use our trademarks, logos, or proprietary technology except as strictly necessary to use the service.

9. Early Access & Service Changes

The platform is currently in early access. We may modify, suspend, or discontinue any part of the service at any time. We will endeavour to provide reasonable notice of material changes where possible, but are not obligated to do so during the early access period.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Nexus Software and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the service — even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the amount you paid to us in the three months preceding the claim, or USD 100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Nexus Software and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights including WhatsApp's platform policies.

13. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the service after changes are posted constitutes your acceptance of the revised Terms. We will update the effective date above when changes are made.
